1. Agreement to Terms
By accessing or using the Stateable platform ("Service"), operated by Stateable Inc. ("Stateable," "we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
If you do not agree to these Terms, you may not access or use the Service.
2. Description of Service
Stateable is a data platform for insurance commissions. The Service provides commission statement parsing, data normalization, reporting and analytics, API access, and related tools for insurance agencies, agents, managing general agents (MGAs), and field marketing organizations (FMOs).
3. Accounts and Registration
To use the Service, you must create an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
You agree to:
- Provide truthful and accurate registration information
- Maintain the security of your account credentials
- Promptly notify us of any unauthorized use of your account
- Accept responsibility for all activities under your account
4. Subscription Plans and Payment
Plans. The Service is offered under multiple subscription plans, including Individual, Agency, and Enterprise tiers. Features, limitations, and pricing for each plan are described on our website and may be updated from time to time.
Billing. Paid plans are billed on a monthly or annual basis as selected at the time of purchase. All fees are non-refundable except as expressly stated in these Terms or required by applicable law.
Payment Processing. Payments are processed through Stripe, Inc. By subscribing to a paid plan, you agree to Stripe's terms of service and authorize recurring charges to your payment method.
Price Changes. We may change our prices at any time. For existing subscribers, price changes will take effect at the start of the next billing cycle following notice of the change.
5. Your Data
The short version:
Your data is yours. We never sell it, share it, or use it to train models. Period.
Ownership. You retain all rights to the data you upload to or create within the Service ("Your Data"). Stateable does not claim ownership of Your Data.
License. You grant Stateable a limited, non-exclusive license to process, store, and display Your Data solely for the purpose of providing the Service to you.
No Selling or Sharing. We will never sell, share, license, or provide Your Data to third parties. We will never use Your Data to train machine learning models. Your commission data is processed exclusively for your benefit.
Data Security. We implement industry-standard security measures, including AES-256 encryption at rest, TLS 1.3 encryption in transit, and SOC 2 Type II audited controls.
Data Portability. You may export Your Data at any time through the Service or by contacting us. Upon termination of your account, we will provide a reasonable period (not less than 30 days) to export Your Data before deletion.
6. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable laws or regulations
- Upload malicious code, viruses, or any content designed to disrupt the Service
- Attempt to gain unauthorized access to the Service, other accounts, or related systems
- Reverse engineer, decompile, or disassemble any portion of the Service
- Resell, sublicense, or redistribute access to the Service without our written consent
- Use the Service in a manner that could damage, disable, or impair our infrastructure
7. AI Features
The Service includes optional AI-powered features that allow you to connect third-party AI providers (such as Anthropic, OpenAI, Google, and others) to analyze your commission data. When you use these features:
- You choose which AI provider to connect — we do not mandate a specific provider
- Your data is sent to the AI provider you select, subject to that provider's terms of service and privacy policy
- Stateable does not charge per-token fees for AI usage — costs are between you and your chosen provider
- AI features are optional and the core data parsing functionality operates without AI
8. Service Availability
We strive to maintain high availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.
For Enterprise customers with a Service Level Agreement (SLA), availability guarantees are governed by the terms of that agreement.
9. Intellectual Property
The Service, including its software, design, documentation, and all related intellectual property, is owned by Stateable Inc. and protected by applicable intellectual property laws. These Terms do not grant you any rights to our trademarks, service marks, or brand elements.
10. Limitation of Liability
To the maximum extent permitted by applicable law, Stateable shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of the Service.
Our total aggregate liability for any claims arising from or related to the Service shall not exceed the total fees paid by you to Stateable in the twelve (12) months preceding the claim.
11. Disclaimer of Warranties
The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
While Stateable strives for 100% parsing accuracy through discrete, per-format parsers, we do not guarantee that the Service will be error-free. You are responsible for verifying the accuracy of parsed data before taking action based on it.
12. Termination
By You. You may cancel your subscription and terminate your account at any time. Cancellation takes effect at the end of the current billing period.
By Us. We may suspend or terminate your access to the Service if you violate these Terms, fail to pay applicable fees, or if we reasonably believe your use poses a risk to the Service or other users.
Effect of Termination. Upon termination, your right to access the Service ceases. We will retain Your Data for 30 days following termination to allow for export, after which it will be permanently deleted.
13. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes by email or through the Service at least 30 days before they take effect. Your continued use of the Service after changes become effective constitutes acceptance of the updated Terms.
14. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved in the state or federal courts located in Delaware.
